Candle Media is seeking an enthusiastic and ambitious associate corporate lawyer to join the legal department at Candle Media - a very exciting and growing global entertainment business.

What You’ll Do:
Reporting to and working closely with the team’s Senior Legal Adviser based in London, you will work across and support our corporate governance, compliance and corporate development initiatives.
You will give practical day to day legal advice across the full spectrum of corporate and governance arrangements that we enter into, including with our subsidiaries (e.
g.
Moonbug Entertainment and Hello Sunshine), third parties and on an intra-group basis
You will provide occasional team administrative support in the form of entity formations and maintenance, drafting of board minutes and shareholder resolutions and managing and maintaining company registers and group structure charts
You will coordinate and receive board and committee signatures for documents and materials
Working closely with Candle Media’s finance and tax teams, you will help support group structuring and tax structuring initiatives (e.
g.
intercompany agreements)
You will assist in advancing the company’s M&A activities globally including supporting due diligence and closing transactions plus post-completion integration
You will produce documents related to the development and implementation of corporate policies and templates
You will support Candle’s subsidiary and legal entity management programme
You will support governance needs relating to employee equity
You will keep up to date with relevant legal corporate and corporate governance regulations, trends and developments and will share that knowledge with colleagues to foster a ‘continuous improvement’ culture focused on building policies and processes which will steward the business.
Requirements
JD degree from an accredited law school & member of the California Bar or registered with the California Bar as in-house counsel
3+ years of experience in a corporate practice at a reputable law firm or combination of reputable law firm and in-house, focused specifically on corporate law and corporate governance.
Ability to work autonomously and reliably within tight timeframes in a fast-paced, high-performance environment
You will be methodical, have great attention to detail and take pride in moving non-urgent work, including more strategic projects to completion
You will have excellent time management and organisational skills and will be able to, and enjoy, working concurrently on a variety of projects, effectively prioritising and working under demanding deadlines whilst remaining “cool and calm” and very importantly, showing a good sense of humour.
A “can do” attitude is essential.

You will have strong drafting, communication and negotiation skills, including experience with all forms of corporate documents
Experience working with international teams
Experience working with Tax, Treasury, Accounting, Finance, HR, M&A and other corporate functions is a plus
Benefits
The base salary range for this role is between $200,000 - $250,000
