We are looking for a self-starter/highly motivated Corporate Paralegal to join our Corporate Department.

*Responsibilities:*
· *Formation and Organization of New Entities.
* Prepare and file charter documents for legal entities, in particular LLCs and corporations, draft operating agreements, draft/prepare corporate organizational documents (organizational resolutions, bylaws, stock ledger, stock certificates, investment representation letters), register entities in various states as foreign entities, prepare and file S elections, obtain EINs, prepare and file fictitious business name statements.
· *General Corporate/LLC Housekeeping.
* Maintenance of corporate minutes books; prepare board and shareholder consents in lieu of annual meetings; prepare and file annual reports with secretaries of state in various states for corporations, LLCs and other legal entities.
· *Ongoing Corporate/LLC Matters.
* Prepare and file amendments to charter documents and draft authorizing board and shareholder resolutions; prepare documents necessary to effect stock transfers and assignment of membership interests, prepare and file UCCs, prepare resolutions of board, shareholders, members or managers authorizing certain transactions; prepare and file dissolution documents for entities and draft related resolutions and plans; assist with mergers and acquisitions and drafting of related documents.
· *Other Responsibilities* Assist with and coordinate closings, including but not limited to pre-closing due diligence, closing preparation and post-closing matters; proficient in drafting correspondence to clients, support special projects as needed, including research and project management; review and assist with drafting/revising various transaction and ancillary documents.
*Requirements:*
· Post-bachelor's degree paralegal certification preferred.
· A minimum of five years' experience as a corporate paralegal
· Legal research
· Competency in legal software such as ProLaw; also, Word and Excel
· Superb organizational, time management and multitasking skills
· Excellent collaboration and communication abilities
· Ability to work independently
· Keen attention to detail
· Ability to work in a fast-paced environment.
· Current Notary Public commission or ability to obtain Notary Public commission preferred.

*Compensation, Benefits, and Perks:*
* The anticipated base salary range for this nonexempt full-time role is $100,000 to $115,000 per year, with the final offer dependent on factors such as experience, job-related skills, qualifications.
